Management buyout funding for UK SMEs: how the deal actually gets financed
A structural guide to funding a UK management buyout: how the price gets built up from cash-flow lending, secured layers, vendor loan notes and management equity, and where each piece comes from.

Where the money actually comes from
MBO funding is almost always a stack, not a single facility. A typical UK SME MBO layers senior cash-flow debt (multiple of EBITDA), asset-backed lending against property, plant or debtor book, a vendor loan note (deferred consideration from the seller), and management's own equity contribution.
The mix flexes to the target's balance sheet. Asset-heavy businesses (manufacturing, distribution) can support more secured debt; asset-light services businesses lean more on cash-flow lending and vendor deferral.
How the debt is sized
Cash-flow lending may be assessed against maintainable earnings, but the multiple varies with recurring revenue, concentration, sector, security and market conditions. Debt-service headroom and the downside case are as important as the headline valuation multiple.
Asset-backed layers unlock cheaper capital: invoice finance against the debtor book, HP refinance on plant, secured lending against freehold property. Each layer needs its own security and covenants.
The role of vendor loan notes
A vendor loan note is deferred consideration, the seller takes part of the price as a note repaid over 2–5 years. It bridges the funding gap, aligns the seller's incentive during handover, and often carries a lower coupon than senior debt.
Vendor deferral can fund part of the consideration, but its size and terms are negotiated for each transaction and depend on the seller, valuation, senior debt capacity and management equity.
Build the transaction from sustainable cash flow
Normalise earnings
Separate recurring trading from owner-specific pay, one-offs and exceptional costs. Test customer and supplier concentration before applying a debt multiple.
Map the full stack
Show management equity, senior debt, asset-backed facilities, deferred consideration and fees. State priority, security and repayment for every layer.
Protect day-one liquidity
Leave enough working capital after completion for payroll, tax, stock and integration. Acquisition debt should not consume the cash needed to trade.

Frequently asked
How much equity does management need to put in?
There is no fixed percentage. Providers normally expect a meaningful commitment relative to management's resources, with the amount shaped by valuation, cash-flow strength, vendor deferral and the rest of the funding stack.
How long does an MBO take to fund?
Timing depends on due diligence, valuation, legal documentation, funding conditions and the parties' readiness. Build a transaction timetable with advisers rather than relying on a fixed completion estimate.
Can bad credit derail an MBO?
Serious adverse on a management shareholder can be a blocker for senior lenders. Restructuring the deal shape, more vendor deferral, less senior debt, is usually the workaround.
